Terms of Service

These Terms govern your access to and use of Zerostic's websites, products and services, including Zerostic Studio (client portal), JAI (AI assistant) and our mobile apps, as well as professional services we provide. By engaging Zerostic or using our products, you agree to these Terms.

1. Services & products

Zerostic provides software development, design, cloud, DevOps and AI services, and operates its own products. The scope, deliverables, fees and timeline of any professional engagement are set out in a separate proposal, statement of work (SOW) or order, which together with these Terms forms the agreement.

2. Engagements, fees & payment

• Project scope, fees and milestones are agreed in writing before work begins.
• Invoices and payments are handled through Zerostic Studio and third-party payment gateways, in Indian Rupees (INR) unless stated otherwise.
• Fees are payable per the proposal/invoice terms. Late or non-payment may pause or suspend work and product access.

3. Subscriptions (JAI and other recurring products)

• JAI is offered on a subscription basis (a recurring service fee) plus pass-through of provider API/token consumption at cost. Indicative pricing is confirmed in your order or SOW.
• Subscriptions renew automatically until cancelled. You may cancel at any time; cancellation stops future billing and takes effect at the end of the current billing period.

4. Intellectual property

• Ownership of bespoke deliverables transfers to you as set out in the applicable agreement, typically upon full payment.
• Zerostic retains all rights in its pre-existing tools, frameworks, libraries, products (including Studio and JAI) and know-how. Where these are included in a deliverable, you receive a non-exclusive licence to use them as part of that deliverable.

5. Your responsibilities

You are responsible for the accuracy and legality of content and data you provide, for obtaining necessary rights and consents, for safeguarding your account credentials, and for using our products lawfully and as documented. You must not misuse JAI or our products (e.g. for unlawful, infringing, abusive or deceptive purposes) or attempt to disrupt or reverse-engineer them.

6. Third-party services

Our products rely on third-party providers (e.g. cloud, payment gateways, AI model providers). Your use may also be subject to their terms, and we are not responsible for their acts or omissions.

7. Confidentiality

Each party will protect the other's confidential information and use it only to perform under the agreement.

8. Warranties & disclaimer

Services are provided on a professional, best-effort basis. Except as expressly stated, products and services are provided "as is" without warranties of any kind to the extent permitted by law. AI outputs from JAI may be imperfect and should be reviewed before reliance.

9. Limitation of liability

To the maximum extent permitted by law, Zerostic is not liable for indirect, incidental or consequential damages, and our total aggregate liability is limited to the fees paid for the specific engagement or product giving rise to the claim.

10. Term & termination

Either party may terminate an engagement as set out in the applicable SOW. We may suspend or terminate access for breach of these Terms or non-payment. Accrued fees remain payable.

11. Governing law

These Terms are governed by the laws of India, and the courts at Faridabad, Haryana shall have jurisdiction, subject to any dispute-resolution terms in your agreement.

12. Changes

We may update these Terms from time to time; the "Last updated" date reflects the latest version. Continued use after changes constitutes acceptance.
